Terms of Service

These Terms of Service ("Terms") form a binding agreement between Auto Hot List ("Auto Hot List", "we", "us"), located at 1308 South Loop West, Houston, Texas 77054, United States, and the business entity you represent ("you", "Client"). By using autohotlist.net, submitting a sourcing or contact request, ticking the agreement checkbox on our forms, or accepting a quotation, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site or our services.

Our services are offered strictly business-to-business. By using them you represent and warrant that:

• You are at least 18 years old and legally able to enter contracts.
• You act on behalf of a registered company, dealership, exporter, fleet operator, corporate account, or government body, and are authorized to bind it.
• Vehicles are purchased for business, resale, fleet, or export purposes and not as a consumer.
• All information you provide is accurate, current, and complete.

We may request proof of business registration, trade license, or export authorization at any time.

Auto Hot List locates and procures new-condition vehicles through the U.S. authorized franchise dealer network, consolidates units at our Houston, Texas hub, prepares export documentation, and coordinates inland transport and ocean freight to your destination port.

We act as a sourcing and procurement facilitator. Unless a written agreement states otherwise, the sale of the vehicle is between you and the selling U.S. franchise dealer, the vehicle is invoiced and titled in your company's name, and we are not the manufacturer, the selling dealer, the carrier, or a customs broker.

• All quotations, shortlists, price estimates, and shipping estimates shown on the site or supplied by our team are indicative only and do not constitute a binding offer.
• Market-based price and freight estimates are approximations generated from current market data; actual dealer invoice pricing, freight rates, surcharges, and fees may differ.
• An order is binding only when we issue a written pro-forma invoice identifying specific vehicles or specifications, and you accept it in writing.
• Vehicle availability, allocation, and factory production timelines are controlled by manufacturers and dealers and may change without notice.
• Specifications, options, and colors are subject to manufacturer changes and regional availability.

• Payment is by bank wire transfer in U.S. dollars unless otherwise agreed in writing. We do not offer financing or credit.
• A deposit may be required to reserve units; the balance is due before release, loading, or shipment as stated on the invoice.
• You are responsible for all bank charges, intermediary fees, and currency conversion costs.
• Deposits are non-refundable once a vehicle has been reserved, purchased, or allocated to your order, except where we fail to procure the vehicle.
• Late payment may result in storage fees, demurrage, cancellation, or resale of the units at your cost.
• Fraud warning: our banking details never change by email alone. Always verify wire instructions by phone at +1 (713) 231-6731 before transferring funds.

Title passes to you in accordance with the dealer invoice and the Manufacturer's Statement of Origin (MSO) or Certificate of Title issued in your company's name. Risk of loss passes at the delivery term stated on the invoice (for example EXW Houston, FOB, or CIF as agreed, interpreted under Incoterms® 2020).

Transit times quoted for ports and land crossings are estimates provided by carriers and are not guaranteed. We are not liable for delays caused by carriers, ports, weather, congestion, customs, or government action.

All transactions are subject to U.S. export laws, including U.S. Customs and Border Protection vehicle export rules, the Export Administration Regulations, and sanctions administered by OFAC. You agree that:

• You are not located in, organized under, or acting on behalf of any embargoed or sanctioned country, entity, or individual.
• You will not re-export, divert, or transfer vehicles in violation of applicable sanctions or export controls.
• You are solely responsible for import legality, homologation, type approval, duties, taxes, VAT, and registration in the destination country.
• We may screen parties, refuse, suspend, or cancel any order that presents a compliance, sanctions, or fraud risk, and may report as required by law.

Vehicles carry only the warranty offered by the manufacturer, and manufacturer warranties are often limited or void outside the country of original sale. Auto Hot List does not provide any independent vehicle warranty.

The website, price estimates, shipping estimates, vehicle catalog content, images, and specifications are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Images are illustrative and may not depict the exact unit supplied.

To the maximum extent permitted by law, Auto Hot List will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, business, goodwill, or data, arising out of or relating to the site or our services.

Our total aggregate liability for any claim relating to a transaction is limited to the service fees we actually received from you for that transaction.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Once a vehicle has been reserved, purchased, or allocated, cancellation may not be possible. Where a cancellation is accepted, you remain responsible for dealer restocking charges, transport, storage, banking costs, and any loss on resale. Changes to specification after order acceptance are subject to availability and repricing.

You agree not to:

• Submit false, misleading, or automated form submissions, or circumvent our bot protection and rate limits.
• Scrape, harvest, mirror, or bulk-copy vehicle data, pricing, or content without written permission.
• Attempt to access administrative areas, other users' data, or any non-public system.
• Introduce malware, attempt intrusion, or interfere with the availability of the service.
• Use our contact details or content for unsolicited marketing.

We may suspend or terminate access for any breach of this section.

The Auto Hot List name, logo, site design, text, layout, and compiled data are owned by Auto Hot List and protected by intellectual property laws. Manufacturer names, model names, and logos remain the property of their respective owners and are used for identification only; their use does not imply affiliation, sponsorship, or endorsement.

By submitting a form you consent to receive transactional emails relating to your request. Where you also opt in, we may send commercial updates; every marketing email includes an unsubscribe link. Details of how we handle your data are in our Privacy Policy.

We are not liable for failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, epidemics, strikes, port or carrier disruption, chip or vehicle shortages, manufacturer allocation changes, sanctions, embargoes, or government action.

These Terms are governed by the laws of the State of Texas, United States, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods.

The parties will first attempt to resolve any dispute in good faith. If unresolved within 30 days, the dispute will be submitted to binding arbitration in Houston, Texas, conducted in English under the Commercial Arbitration Rules of the American Arbitration Association, or, at either party's election, to the state or federal courts located in Harris County, Texas, to whose exclusive jurisdiction the parties consent. Claims must be brought individually and not as a class action.

• If any provision is found unenforceable, the remainder stays in full effect.
• Our failure to enforce a provision is not a waiver of it.
• You may not assign these Terms without our written consent; we may assign them to a successor entity.
• These Terms, together with any accepted invoice or written agreement, form the entire agreement between the parties.
• These Terms are written in English; any translation is for convenience and the English version prevails.
• We may update these Terms at any time; the "last updated" date shows the current version, and continued use constitutes acceptance.
